Terms of Service

These Terms of Service govern your use of CoreTools and the website at coretools.app. By purchasing, downloading, installing, or using any CoreTools software or the website, you agree to be bound by these Terms. If you do not agree, do not use the service. You can contact us at any time at support@coretools.app.

1. Acceptance of Terms

By creating an account, completing a purchase, activating a licence key, or otherwise accessing any part of CoreTools, you confirm that you have read, understood, and agreed to these Terms of Service and to our Privacy Policy, Refund Policy, and Cookies and Acceptable Use Policy.

If you are entering into these Terms on behalf of an organisation, you warrant that you have the authority to bind that organisation, in which case references to "you" include that organisation.

2. Eligibility

CoreTools is not intended for, and must not be used by, anyone under the age of 16. By using CoreTools you confirm that you are at least 16 years old and legally capable of entering into a binding contract under the laws that apply to you.

We may refuse service, terminate accounts, or cancel orders if we reasonably believe this eligibility requirement is not met.

3. Licence Grant

Subject to your compliance with these Terms and payment of the applicable fee, CoreTools grants you a perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable licence to install and use the purchased software for a single user on the number of devices specified at the point of sale. Unless explicitly stated otherwise on the product page, each licence is intended for one individual end user.

The licence is perpetual for the major version purchased and the immediately following major version. Patch and minor updates within those two majors are included at no additional cost. Subsequent major versions require a licence upgrade. Licences are issued and validated by CoreTools directly, using our own account and device-slot system hosted on our infrastructure.

All intellectual property rights in the software remain the property of CoreTools. No rights are granted other than those expressly set out in these Terms.

4. Prohibited Use

You must not, and must not permit any third party to: (a) copy, redistribute, sublicense, rent, lease, lend, or resell the software or any licence; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software, except to the extent such activity is expressly permitted by applicable law notwithstanding this limitation; (c) share, publish, or transfer a licence or associated account credentials to any other person; (d) circumvent, disable, or interfere with licence validation, device-slot enforcement, or any other security or authentication mechanism; (e) use the software to build or assist in building a competing product; or (f) use the software in any manner that violates applicable law.

5. Licence Revocation

We may suspend or revoke a licence key where we have reasonable grounds to believe that the licence has been obtained fraudulently, that payment has been reversed or charged back, that the licence has been shared or redistributed in breach of these Terms, or that the software is being used in breach of Section 4.

Where a refund is granted under our Refund Policy, the corresponding licence will be revoked and the software must cease to be used.

6. Availability and No Service Level Agreement

CoreTools software is provided on a one-time purchase basis and runs locally on your device. The coretools.app website, account services, and licence validation services are provided on a reasonable-efforts basis without any guaranteed level of availability. We do not offer a service level agreement (SLA) and we are not liable for temporary unavailability of the website or the licensing service, except as required by applicable consumer law.

7. Pricing and Payment

All prices are set in GBP (pounds sterling). Stripe may display an estimated equivalent in your local currency at checkout, but the actual amount we charge and settle is in GBP; your bank or card issuer determines the final amount in your local currency and may apply its own conversion fees. Prices are inclusive of applicable taxes where required by law; otherwise, taxes may be added at checkout.

All payments are processed by Stripe, our payment service provider. CoreTools does not see, handle, or store your full payment card details at any time. By submitting an order you authorise Stripe to charge the payment method you provide.

We reserve the right to refuse or cancel any order at our discretion, including where we suspect fraud, where the price displayed was manifestly incorrect, or where we are unable to fulfil the order for operational or legal reasons. If we cancel a paid order, we will refund the amount charged in full.

8. Changes to the Software

We may update, modify, or discontinue features of the software over time. Perpetual licences entitle you to continued use of the software, together with all patch and minor updates, and to upgrade to the next major version after the one purchased. Subsequent major versions are not included.

9. Limitation of Liability

To the fullest extent permitted by law, the total aggregate liability of CoreTools to you arising out of or in connection with these Terms, your use of the software, or the website, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the amount actually paid by you for the product giving rise to the claim.

We exclude, to the fullest extent permitted by law, liability for: loss of profits, loss of business, loss of revenue, loss of goodwill, loss of anticipated savings, loss or corruption of data, and any indirect or consequential loss.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be limited or excluded under applicable law. Nothing in these Terms affects the mandatory statutory rights of consumers under the laws of the United Kingdom or the European Union, which are expressly preserved.

10. Indemnity

You agree to take reasonable steps to defend and hold CoreTools harmless from any third-party claim arising from your breach of these Terms or your unlawful use of the software. This provision does not apply where such a claim results from our own acts or omissions, and it does not restrict any statutory rights you have as a consumer.

11. Changes to these Terms

We may amend these Terms from time to time. Where changes are material, we will notify you by email to the address associated with your account and by posting a notice on coretools.app before the changes take effect. Changes will not apply retroactively to purchases already made under earlier versions of these Terms, except where required by law or where the change is clearly in your favour.

12. Termination

You may stop using CoreTools at any time and request closure of your account by contacting support@coretools.app. We may terminate or suspend your account and associated licences if you materially breach these Terms, if payment is reversed or disputed without valid cause, or as otherwise permitted in these Terms. Sections relating to intellectual property, limitation of liability, indemnity, governing law, and any other provisions which by their nature should survive, will survive termination.

13. Third-Party Services

CoreTools relies on trusted third-party service providers to operate, including Stripe (payments), Appwrite (database, authentication, and licence record hosting, located in Frankfurt, EU), Resend (transactional email delivery, including sign-in magic links and order receipts), and Cloudflare (content delivery, WAF, and bot protection). Your use of CoreTools may be subject to the applicable terms of these providers where they directly affect you. Details of how these providers process your personal data are set out in our Privacy Policy.

14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that nothing in this clause limits the mandatory consumer protections available to you under the laws of your country of residence. If you are a consumer resident in the European Union or the United Kingdom, you retain the benefit of any mandatory protections of the law of your country of habitual residence.
